Terms and Conditions
for Translation Assignments
By confirming an assignment, the Client agrees to the following Terms and Conditions of Assignment.
Definitions
Client refers to the person who gives an assignment to the translator, by letter, fax, e-mail or other document, binding himself to pay the agreed fee.
Translator refers to the professional who translates a text from the source language to the target language, so as to keep the original meaning as unaltered as possible and resorting to adaptation processes where necessary.
Source Language refers to the original language of the text to be translated.
Target Language refers to the language into which the original text will be transposed.
Determination of fees
The basic unit for calculating fees is the source text word. The fee, therefore, is determined on the basis of the number of words of the source text. This is without prejudice, however, to the right to expressly agree in writing on fees on a lump-sum basis, by line, or otherwise with different calculation criteria.
Unless otherwise agreed in writing between the parties, there is a minimum charge of 50,00 € for translations under 150 words.
For urgent assignments, i.e. assignments given with less than 24 or 48 hours' notice, depending on the case, or requiring the Translator's commitment on holidays or pre-holidays, there is a surcharge to be determined on a case-by-case basis.
Any specific requests or additional services are calculated separately from the cost of translation.
Fees are calculated net of VAT and 4% extra for social security contributions (INPS) and gross of withholding tax.
Quote and confirmation of assignment
The Translator will submit a quote for each project after taking a look at the material to be translated. The project is deemed to be assigned after written confirmation by the Client. Delivery deadlines can be waived by written agreement of the parties and only concern the material delivered upon acceptance of the job and any subsequent additions agreed in writing.
Delivery terms
The Translator is committed to deliver the completed work according to the agreed delivery time. The delivery time is based on the time of confirmation of the work and receipt of the material. If the Client does not confirm the assignment within 24 hours from the quote, or does not deliver the material as agreed, the delivery time may change.
The work will be delivered in Word format, unless otherwise agreed.
Confidentiality
The Translator is committed to keep confidential the Client's texts and personal data, the nature of the work and any information sent by the Client to the Translator for the purpose of translation.
Payment terms
Unless otherwise agreed, payment is due upon delivery of the work. In the case of regular customers, a single invoice will be issued at the end of the month for services provided monthly. In that case, it will not be necessary to submit a quote or make an advance payment for each service requested.
For large projects, an advance payment on the agreed fee or a payment in instalments will be requested. In the case of instalment payments, if an instalment is not paid on time, the Translator shall have the right to suspend the work, after notification to the Client, until receipt of the instalment due.
Changes or termination
Should the Client request changes during the translation process, the amount and delivery time may vary. If the Client terminates the contract after the work has been assigned, the Translator shall be paid 10% of the total fee for termination, in addition to the amount of the work performed by the Translator up to that time.
Nature of the translation and responsibility
The Translator is committed to translate specialist terms in accordance with their conventional meanings, using dictionaries/glossaries in the possession of the Translator or provided by the Client. If the translation is published, the Client shall indicate the name of the Translator on the translation.
The Translator is solely responsible for the translation carried out. He shall not be responsible for the original content, nor for additions and/or changes to the translation made without the written permission of the Translator, or for copyright violation and disputes arising therefrom. The Client shall indemnify the Translator for claims, legal action or costs arising from the publication of defamatory and/or illegal material.
Faults or defects
The contract between the Translator and the Client, without prejudice to the derogations herein, and/or a different written agreement between the parties, shall be regulated by the regulations referred to in Art. 2222 et seq. of the Civil Code.
Jurisdiction
Any dispute concerning the contract between the Client and the Translator arising from the content, defect, payment, validity or termination of the contract, shall be submitted to the Jurisdiction of the Translator's residence.
